Nexus terms of service

Who we are and what these terms cover
Nexus is a test management app for Jira Cloud, made by Resync Consulting Limited, a New Zealand company ("Resync", "we", "us"). These terms are between Resync and the organisation that installs Nexus ("you"). If you install Nexus for an employer or client, you confirm that you may bind them.
These terms cover the Nexus app, the Nexus command line tools, runners and reporters, and the website nexus.resync.nz. Nexus is sold through the Atlassian Marketplace. Your purchase, billing and licence are also governed by the Atlassian Marketplace terms, which apply between you and Atlassian. If these terms and the Atlassian Marketplace terms conflict on billing or licensing, the Atlassian terms win.
Licence
Resync gives you a non-exclusive, non-transferable right to install and use Nexus on the Jira sites you administer, for your own internal business purposes, for as long as your subscription is active. Nexus is sold as a single edition that includes all of its features. You may not resell Nexus, offer it as a service to others, or copy, reverse engineer or remove its licence checks, except where the law does not allow us to restrict that.
Your data
You own the data you put into Nexus. Nexus runs on Atlassian Forge and keeps it in your Jira site and in Forge storage inside Atlassian's cloud. Resync does not receive it. You are responsible for the content you store and for having the right to use it. How data is handled is described in our privacy policy, and our Data Processing Agreement applies to the personal data Nexus processes for you.
Nexus sends requirement content to the AI provider that your Jira administrator connects, under your own agreement with that provider. We do not choose the provider, see the content or charge for its use. You are responsible for that agreement and for the provider's terms.
AI features
AI output can be wrong or incomplete. Nexus shows AI results as drafts. A person on your team must review them before they become test cases or records, and you remain responsible for what you accept. AI output is not a sign-off, a certification or professional advice, and you should not rely on it as the only basis for a release decision.
Acceptable use
You will not use Nexus to break the law, to infringe anyone's rights, to store content you may not lawfully store, to attack or overload Nexus or the platforms it runs on, or to try to access another customer's data. Admins are responsible for who on their site can use Nexus and for the API keys they create. Keep API keys secret. Anything done with your key is treated as done by you.
Support and availability
Support is available from nexus-support@resync.co.nz and at nexus.resync.nz/support/, 9am to 5pm Monday to Friday, New Zealand time. Urgent security matters can be sent at any time with the subject "Urgent". Nexus depends on Atlassian Forge and Jira. We do not promise uninterrupted service, and outages of those platforms are outside our control.
Changes to the app and to these terms
We update Nexus often. We may change or remove features, and will give notice of major changes in the release notes. We may update these terms. The version on this page applies, and the date at the top shows when it last changed. If a change materially reduces your rights, we will tell you through the Marketplace contact on record before it applies to you.
No warranty
Nexus is provided "as is". To the extent the law allows, we give no warranty that it will be error free, fit for a particular purpose, or that it will find every defect in your software. Nothing here limits rights you have under law that cannot be excluded.
Limit of liability
To the extent the law allows, Resync is not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill, or for loss caused by decisions you make from test results, reports or AI output. Our total liability for all claims about Nexus in any 12 months is limited to the fees you paid for Nexus in the 12 months before the claim arose. Nothing limits liability that cannot be limited by law, including for fraud.
Ending your use
You can stop at any time by cancelling through the Atlassian Marketplace or uninstalling Nexus. We may suspend or end your access if you seriously or repeatedly break these terms, or if we must by law. When Nexus is uninstalled, the data kept in your Jira site stays with you, and what Atlassian keeps in Forge storage is handled under Atlassian's retention rules, as described in the privacy policy. Export your data before you uninstall.
Governing law
These terms are governed by the law of New Zealand. The courts of New Zealand have non-exclusive jurisdiction. Customers in other regions keep any rights that local law gives them and that cannot be changed by contract.
